Terms of Service

01The agreement

These terms are an agreement between you and Magou Investments LLC, 2222 W. Grand River Ave, Ste A, Okemos, MI 48864, United States (“Shopsicle”, “we”, “us”). They apply when you use this website, join early access, or install and use the Shopsicle app for Shopify (together, the “Service”).

If you use the Service for a business, you confirm you are allowed to accept these terms for it, and “you” means that business. You must be at least 18.

02Early access

Shopsicle is in early access. Features may be incomplete, change, or be removed, and the Service may be unavailable at times. We may limit who can join and end early access. We’ll give reasonable notice before ending it where we can.

Your feedback shapes the product. We’re grateful for it.

03Fees

Joining the early-access list is free. Available app plans have their own prices, limits and trial terms. Before you approve a plan, Shopify shows its price and first charge date; nothing is charged unless you approve it there. Paid plans are billed through Shopify, and Shopify’s billing terms apply to those charges. Plan availability may be limited during early access.

04Your store and your data

You own your store data. You give us permission to use it only to provide, secure and improve the Service for you, as described in our Privacy Policy. For your shoppers’ personal data, you are the controller and we are your processor. Our data processing terms, available on request at hi@shopsicle.co, form part of this agreement.

You are responsible for your store’s privacy notice and consent settings, and for having the right to let Shopsicle process your store’s data. Shopsicle follows the consent settings you configure.

We may use aggregated, de-identified information that can’t identify you, your store or your shoppers to understand and improve the Service.

05Findings are recommendations

Shopsicle studies how people shop your store and suggests what to change, with the evidence it used and how confident it is. Findings are observations and hypotheses, not guarantees. We don’t promise any particular result, such as more sales or a higher conversion rate.

You control what Shopsicle may change in your store. Supported changes can be prepared for your approval or tested within the permissions and rules you set. Changes outside the supported delivery options may need you to implement them in your theme or another app.

06Acceptable use

Please don’t:

• use the Service to break the law, or to collect data your shoppers haven’t consented to where consent is required;
• try to access other stores’ data, or probe, overload or disrupt the Service;
• copy, resell, or reverse engineer the Service, or use it to build a competing product;
• use the Service in a way that could harm us, other users or shoppers.

We may suspend access to stop a serious breach of these rules, and will tell you why when we can.

07Our property

The Service, including its software, design and the Shopsicle name and logo, belongs to us and our licensors. You get a limited, non-exclusive, non-transferable right to use it for your store while these terms apply. If you send us ideas or feedback, we may use them without owing you anything.

08Shopify and other services

Shopsicle works with Shopify and relies on other providers to run. Shopify’s terms govern your use of Shopify. We’re not responsible for services we don’t control, but we choose our providers carefully.

09Disclaimers

During early access especially, the Service is provided “as is” and “as available”. To the extent the law allows, we disclaim all warranties not stated in these terms, including fitness for a particular purpose and that the Service will be error-free or uninterrupted. Some jurisdictions don’t allow these exclusions, so some may not apply to you.

10Limits on liability

To the extent the law allows, neither side is liable for indirect or consequential losses, such as lost profits, revenue or data, and our total liability for any claim relating to the Service is limited to the greater of the amounts you paid us in the 12 months before the claim and 100 US dollars. Nothing in these terms limits liability that can’t be limited by law.

11Responsibility for your use

If someone makes a claim against us because of how you used the Service in breach of these terms or the law (for example, collecting shopper data without the consent your store needed), you agree to cover the resulting reasonable costs and losses.

12Ending the agreement

You can stop any time by uninstalling the app or asking us to remove you from early access. We may end the agreement with notice, or immediately for a serious breach. When a store uninstalls Shopsicle, we delete its data as described in the Privacy Policy. Sections that by their nature should continue (like ownership, limits on liability and governing law) continue after the agreement ends.

13Changes to these terms

We may update these terms. We’ll change the date at the top and, for significant changes, tell you by email or in the app before they take effect. If you keep using the Service after that, the new terms apply.

14Governing law

These terms are governed by the laws of the State of Michigan, United States, and disputes go to the state and federal courts located in Ingham County, Michigan, unless the law where you live gives you the right to bring a claim elsewhere.
